The Daniel E. Rumph II Foundation (the "Foundation") is committed to maintaining the highest standards of ethical conduct. This Conflict of Interest Policy is designed to help directors, officers, employees, and volunteers identify situations that present potential conflicts of interest and to provide the Foundation with a procedure to address such conflicts in a transparent and fair manner.
Definition of Conflict of Interest
A conflict of interest occurs when an individual's personal interests, relationships, or affiliations could influence their decisions or actions on behalf of the Foundation. This includes situations where the individual's judgment could be affected by outside employment, financial interests, or relationships with other organizations.
Duty to Disclose
Any individual covered by this policy who has a potential conflict of interest must disclose the nature of the conflict to the Board of Directors or designated committee. This disclosure should be made promptly and fully, and must include all relevant facts and circumstances.
Procedures for Addressing Conflicts of Interest
Review of Disclosures: The Board of Directors or designated committee will review all disclosures of potential conflicts of interest.
Determination: The Board or committee will determine whether a conflict of interest exists and, if so, the appropriate course of action to address it.
Recusal: If a conflict of interest is determined, the individual involved must recuse themselves from any discussions or decisions related to the matter.
Documentation: All decisions and actions taken to address conflicts of interest will be documented in the Foundation’s records.
Violations of the Policy
Failure to disclose a conflict of interest or to follow the procedures outlined in this policy may result in disciplinary action, up to and including termination of employment or volunteer status.
Annual Review
This policy will be reviewed annually by the Board of Directors, and all directors, officers, employees, and volunteers will be required to acknowledge their understanding and acceptance of the policy.
